Just a dumb little lesson learned:

1.  My server had ISA 2000 on it long ago.  18 Months ago I installed ISA 2004 on it - can't recall the details (I'm sure it was fun!), but it installed OK and worked.
2. So I follow the ISA 2006 upgrade notes and uninstall 2004, reboot, and start to install 2006.
3. The ISA 2006 Installer after a couple of seconds, notifies me that I have ISA 2000 and you can't upgrade from ISA 2000. Grrr.
4. To make a long story short, I opened up the ISA 2006 .msi package with my WISE Installer software.  I find the System Search table and notice that the Installer is looking for the registry value
[HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\MS Setup (ACME)\Table Files as a flag if ISA 2000 is installed.
As "proof" my machine "had" ISA 2000 installed.
5.  Somehow this old ACME registry Gem didn't get removed when I installed ISA 2004. Go figure. 
6. So I comment out the registry setting,  ISA 2006 installs....

I hope this says someone a couple of hours of wasted time...
