You'll need to change one of the subnets to use a different subnet ID

Clint is there a way to do this on the isa 2004 server?

You'll have to change the entire subnet that ISA is a part of - every host on that subnet.

Once you've changed the hosts, then change ISA's configuration to have 192.168.x.x in the Internal network.

I have different subnets already an still the problem...
Maybe I need to reinstall ISA??

I was just responding to ctg23 above.

The only suggestion i have for you is to install Network Monitor on the ISA Server and the DHCP Server. Have both systems capturing (the ISA Server should capture on the PPP/Dial-In interface) when this happens and see if the ISA Server sees the DHCP Inform packet from the client and then check the DHCP Server to see if it sees the DHCP Message from the ISA Server.
