unable to upgrade from isa 2k to isa2k4

Status: offline 		Trying to upgrade the isa 2000 component on a sbs premium ed. box. All other relevent service packs and patches have been applied to the SBS.
When reaching the installation status of ISA 2004 it cannot continue and pops the following error,
"in order to proceed, you must close any applications that access ISA server, and then click ok. Otherwise click cancel to exit this wizard."
All relevant services have been stopped, processes have been terminated and clients have even been taken offline.........Anyone else come across this???????????

Status: offline 		The upgrade has difficulty shutting down the IIS admin server. Stop it and your installation should succeed.
